TERMS AND CONDITIONS
FOR THE PROVISION OF CONSULTANCY SERVICES


1. These terms and conditions are deemed to be incorporated in all Contracts for Services, either by written or verbal agreement, provided by WESSEX FORUM("The Consultant").

2. The purpose of any agreement and/or 'Assignment' is to provide specific assistance to the Client in the form of identifying any adverse factors in physical or financial performance of those areas of the Client's operation identified and/or specified by the Client, and through thorough investigation to present solutions and strategies to eradicate their causes and improve the business situation, and, with the Client's permission, assist the Client to fully implement those solutions and strategies. The Assignment will be carried out in the minimum time possible with the Consultant providing appropriate qualified staff to undertake the services contracted for in the agreement and/or Assignment.

2. The achievement of the results depends in part on the effective co-operation of the Client. Accordingly the Consultant does not accept responsibility for any consequential liability arising from the Assignment nor for delay caused by circumstances beyond its control. Under no circumstance will the Consultant's liability for any loss or damage, direct or consequential, however caused, which may arise directly or indirectly from the agreement and/or Assignment, exceed the fee charged for the Assignment, or one month of a retainer agreement, whichever is the lesser.

3. The Client will make available to the Consultant such records, data and other information as in the opinion of the Consultant are necessary for the timely performance of the Assignment. The Client will provide office facilities and telecommunications as appropriate. The Consultant will use all reasonable endeavours to ensure that any Assignment is carried out competently, professionally and to time. All recommendations will be made in good faith and on the basis of information to hand at the time.

4. The Consultant will at all times comply with the Statement on Standards of Professional Conduct of the Consultant and with the Code of Professional Conduct of the Institute of Management Consultants. In particular, any information disclosed to the Consultant in the course of the Assignment will be treated in confidence and will not be passed to any third party without the express permission of the Client, except as may be necessary in furtherance of the Assignment.

5. The fees chargeable for any Assignment are at the agreed rate per day plus travelling, subsistence and out of pocket expenses, and Value Added Tax. The Client will pay the Consultant the total agreed fee in respect of the Assignment whether carried out wholly or substantially at the Client's premises or elsewhere.

6. The Consultant will present invoices for payment of the fees either daily, weekly, monthly, or at the end of, or at any break in, the Assignment, as is agreed between the Consultant and the Client at the commencement of the Assignment. Any additional work, over and above the stated time commitment, will be separately agreed by both parties, and the fees, based on the Consultant's normal daily fee rate will be separately invoiced. All invoices for fees and services provided by the Consultant will be due for payment in full at the time of presentation.

7. Unless otherwise agreed, either the Consultant or the Client may terminate the Assignment without penalty by giving one calendar month's notice to that effect in writing, in which event the Consultant will pass the benefit of any work in progress to the Client, and the Client will pay the Consultant's fees and expenses up to the end of the period of notice, at the time of giving notice.
